Securities Investigation: Penn Square IV U.S. Real Estate Fund LP 

The White Law Group is investigating potential claims involving broker dealers who may have unsuitably recommended private placement investments such as Penn Square IV U.S. Real Estate Fund LP to investors. 

According to filings with the SEC, Penn Square IV U.S. Real Estate Fund LP, a real estate investment fund, filed a Form D to raise capital from investors in 2018. The total offering amount sold to investors was purportedly $5,759,500, according to the Reg D filing 

The trouble with alternative investment products such as Penn Square IV U.S. Real Estate Fund LP is that they involve a high degree of risk and are typically sold as unregistered securities which lack the same regulatory oversight as more traditional investment products like stocks and bonds.   

Further, Reg D private placements are typically sold by brokerage firms in exchange for a large up-front commission, usually between 7-10%. Private placement investments are also illiquid. It can be difficult to sell your alternative investment since it isn’t traded on any exchange, and if you are able to find a buyer in a secondary market, you may lose money in the sale.   

In this particular offering, fees and commissions were estimated at up to 6% for sales commissions and fees, according to the filing.
