According to a 2012 preliminary prospectus, Terra Fixed Income Trust was a newly organized corporation formed to originate, invest in, and manage a diversified portfolio of commercial real estate-related loans and other commercial real estate-related assets with the “intent” to qualify as a real estate investment trust (REIT). The Trust was sponsored by Terra Capital Partners.
However, some reports speculate that Terra Fixed Income Trust may have been encouraged by Ameriprise to restructure their deals for sales purposes. According to Reuters, “Twice since 2012, Ameriprise persuaded New York-based real estate investment company Terra Capital Partners to substantially increase the total amount of money raised in private real estate deals, the sources said. ”
Broker-dealers, like Ameriprise, often earn extremely high sales commission selling non-traded REITs and private real estate funds. Unfortunately, the high sales commissions associated with these types of investments often provides some broker dealers with enough incentive to overlook suitability requirements and to recommend the REITs improperly.
