According to reports this week, Comrit Investments 1 LP, Tel Aviv-based investment fund, has extended the expiration date of its unsolicited tender offer for shares of Benefit Street Partners Realty Trust from November 9, 2018 to November 27, 2018.
Comrit launched its tender offer in September, according to SEC filings, and is offering to purchase up to 1.8 million shares of the non-traded REIT for $13.08 per share, which constitutes approximately 5.3 percent of the outstanding shares. The REIT’s board unanimously recommends that stockholders reject the offer. The original offering price for Benefit Street Partners shares was $25.
The Trouble with Non-Traded REITs
Compared to traditional investments, such as stocks, bonds and mutual funds, non-traded REITS, like Benefit Street Partners Realty Trust, are considerably more complex and involve a high degree of risk. Unfortunately many investors were not made adequately aware of the risks and liquidity problems associated with REITs.
The White Law Group has represented numerous investors in claims against the brokerage firm that recommended non-traded REITs to investors.
Broker dealers are required to perform adequate due diligence on any investment they recommend and to ensure that all recommendations are suitable for the investor. Recommendations should be in line with the investor’s age, risk tolerance, net worth, and investment experience.
Broker dealers that fail to adequately disclose risks or make unsuitable investment recommendations can be held liable for investment losses.
