Securities Investigation – Calliance Realty Fund

Calliance Realty Fund is a Regulation D Private Placement investment. Capital Alliance Advisors is the manager of the fund. It was filed in 2011 in San Francisco, CA. The total offering amount was $25,000,000.
Investments such as these are typically sold by brokerage firms in exchange for a large up front commission. High fees can range from 7-10%, as well as additional “due diligence fees” that can range from 1-3%. According to the Form D filing, “total sales commissions to participating broker-dealers will be 9.5% of the gross proceeds.”
The problem with private placement investments such as Calliance Realty Fund is that they involve a high degree of risk.
